1. About these terms
These terms are an agreement between you and Udyam Scan ("UdyamScan", "we", "us") about using udyamscan.com, the stores on it, and the UdyamScan seller app (together, "the service").
By opening a store, placing an order or creating an account you agree to these terms, the Privacy policy (privacy) and the Prohibited items list (prohibited). If you do not agree, please do not use the service.
2. What UdyamScan is
UdyamScan is a free tool that lets sellers of physical products put up an online store, share it as a link or QR code, and receive orders that continue as a WhatsApp conversation between the buyer and the seller.
UdyamScan is not the seller of any product. We do not buy, sell, stock, pack, ship or deliver anything, and we are not a party to the sale between a buyer and a seller.
3. No payments through UdyamScan
No money passes through UdyamScan. We do not take payments, charge commission, hold funds, issue refunds or calculate tax.
Buyers pay sellers directly, using the payment options the seller shows (for example UPI, bank transfer, a payment link or cash). We do not check those details and cannot reverse, refund or trace a payment. Check that you are paying the right person before you pay.
4. For buyers
- An order is a request to the seller. The sale is between you and the seller, on the seller's prices, stock, delivery, pickup and return terms shown in the store.
- The seller confirms or declines your order. Some prices or delivery charges are set by the seller when they confirm; you will see the final total before you pay.
- You can cancel an order while it is still new. After the seller confirms it, contact the seller.
- Questions about a product, delivery, returns, refunds or warranty go to the seller. UdyamScan cannot decide disputes between buyers and sellers, but you can report a store (grievance).
- Each order has a private status link. Anyone with the link can see the order, so share it only with people you trust.
- You may sign in with a WhatsApp code to see your orders and saved addresses across stores. Signing in is never required to order.
- Store text may be shown in your language by machine translation. The seller's original text is what counts if they differ.
5. For sellers
- You must be at least 18 and able to enter a contract under Indian law (or the law where you live), and the details you give (name, business details, store, products, prices, contact numbers) must be true and kept up to date.
- You are the seller of everything in your store. You are responsible for the products, their descriptions and photos, prices, stock, delivery, returns, refunds, warranties, invoices, taxes (including GST where it applies), licences and following the law where you sell, including consumer protection law.
- Only list physical products you are allowed to sell, and nothing on the Prohibited items list (prohibited).
- Answer orders and keep your word to buyers. Orders you do not answer may expire, and orders you leave open may be completed automatically under the order settings you choose.
- Use buyers' details only to fulfil and support their orders. Do not add buyers to marketing lists, sell or share their details, or message them about anything else without their consent.
- Keep your payment details correct. You alone are responsible for collecting payment from buyers.
- You keep ownership of your content. You give UdyamScan a free, worldwide, non-exclusive licence to host, copy, resize, translate, display and share it to run and promote your store and the service, until you remove it or delete your account.
- Your store link is provided by us. We may change or withdraw a store link that is misleading, infringes someone's rights or breaks these terms.
6. Your account
You sign in with a 6-digit code sent by WhatsApp or email. Keep your phone, WhatsApp and email secure; anything done with your account is your responsibility. If you think someone else has access, sign out of other devices in the app and contact us.
You can delete your account at any time (delete-account).
7. Acceptable use
Do not:
- place fake, joke or abusive orders, or harass buyers, sellers or our team;
- pretend to be someone else, or open stores for businesses you do not represent;
- post content that is unlawful, misleading, hateful, sexually explicit, or that infringes anyone's copyright, trademark or other rights;
- send spam or use the service to collect other people's data;
- scrape, overload, probe or break the service, get around limits or security, or upload malware;
- use the service for anything illegal.
8. Reports, removal and suspension
Anyone can report a store or product. We may, at our discretion and without notice where the law allows, hide products, suspend or close stores, block phone numbers, or end accounts that break these terms or the law, or that put buyers at risk. Where we can, we tell the seller why and how to ask us to look again (grievance).
We follow lawful orders from courts and government authorities, and we may share information with them as the law requires.
9. A free service that changes
The service is free. We may add, change or remove features, set fair-use limits (for example on orders, products, photos or messages), or stop the service. We will try to give sellers reasonable notice of big changes.
We work to keep the service available and your data safe, but we do not promise it will always be available, error-free or that messages and notifications will always arrive. Keep your own records of orders that matter to you (the app lets sellers export their data).
10. Other services
Orders and sign-in codes use WhatsApp (Meta), notifications use Google and Apple, and maps and links may open other services. Those services have their own terms and privacy policies, and we are not responsible for them.
11. Our name and software
UdyamScan's name, logo, design and software belong to us or our licensors. You may use the "Powered by UdyamScan" mark and QR materials the app makes for your store to promote it. Nothing else in these terms gives you rights in our brand or software.
12. Disclaimers and limits on liability
The service is provided "as is" and "as available". To the fullest extent the law allows, we make no promises about any seller, buyer, product, price, payment or delivery, and we are not responsible for what sellers and buyers do.
To the fullest extent the law allows, UdyamScan is not liable for any indirect or consequential loss, lost profit, lost data or lost business, or for any loss from a sale, payment or delivery between a buyer and a seller. Nothing in these terms limits liability that cannot be limited by law.
Sellers agree to cover UdyamScan for claims, losses and costs arising from their products, content, sales or breach of these terms or the law.
13. Ending
You may stop using the service and delete your account at any time. We may suspend or end your access as described in section 8. Sections 3, 5 (content licence until removal), 11, 12 and 14 continue after the end.
14. Law and disputes
These terms are governed by the laws of India. Please contact us first (grievance) so we can try to sort things out. Otherwise, disputes go to the courts of India that have jurisdiction.
15. Changes to these terms
We may update these terms. The date at the top shows the latest version. For important changes we will tell sellers in the app or by email before they take effect. Using the service after a change means you accept it.
